Dr. Terence Chan
Founder
Dr. Terence Chan Ho Wah is a seasoned investor, prominent entrepreneur and business leader, with the motto of “embracing challenges”. He founded Bay Area Capital Partners Limited, focusing on private equity, real estate and infrastructure assets, as well as listed company merger and acquisition. He also serves as an Independent Non-executive Director of three Hong Kong Stock Exchange main board companies—Shanghai Industrial Urban Development Group Limited, CASH Financial Services Group Limited, and Wang On Properties Limited—demonstrating deep expertise in public markets and corporate finance.
Over 30 years of experience in the industry, Dr. Chan has structured and participated in billions of dollars worth of transactionsacross Asia and North America, encompassing trophy mixed-use developments, private/public equity financing, restructurings, distressed debt, bond issuances, and IPOs. He served at Grosvenor Group, one of the world’s largest diversified property groups, where he took charge of the Group's real estate fund management business in Asia and successfully closed out numerous international real estate investment and financing projects. In 2013, he founded Howah Capital Holdings Limited, which completed two deals within just a few months of its establishment and formed a joint venture with a listed company to establish a real estate fund management platform, serving multinational financial institutions and sovereign wealth funds by advising them on high value-added investment management strategy as well as assisting them to undergo urban-regeneration property conversion.
Dr. Chan maintains close relationships with blue-chip institutional investors such as GIC, multiple family offices, and high-net-worth individuals across Asia. His investment coverage extends beyond real estate and infrastructure to include active investments in media, entertainment, consumer goods, and technology sectors. He holds a Doctor of Economics degree, a Master of Science degree in Real Estate, a Bachelor’s degree in Mechanical Engineering, as well as a designation of Chartered Financial Analyst, a professional fellow membership in CPA Australia, and a fellowship of the Royal Institute of Chartered Surveyors.
At the level of investment ecosystem and policy, Dr. Chan is a member of the Election Committee of the HKSAR and a member of the Mainland Opportunities Committee of the Financial Services Development Council. He actively promotes exchange and collaboration in technology, environmental protection, economy and trade, and green finance between Hong Kong and Shanghai as Vice President and Secretary General of the Federation of Hong Kong-Shanghai Associations. He also serves as Deputy Chairman of the Council of The Education University of Hong Kong and Adjunct Professor in the Department of Real Estate and Construction at The University of Hong Kong, continuing to participate in academic and social governance, reflecting his investment judgment and cross-disciplinary leadership abilities.
Ms. Elaine Wang

Elaine is a distinguished investment professional with over 20 years of experience in private equity and asset management. Her career spans the full investment lifecycle—from value discovery and capital injection to corporate empowerment and successful exits. With a track record of core leadership roles at a world-class sovereign wealth fund and leading investment firms, she possesses deep professional expertise and extensive hands-on experience in the Greater China market.
Elaine serves as a Partner at Lantern Capital, based in Shanghai and Hong Kong, leads the firm’s investment operations. Lantern Capital is a premier private equity institution focused on innovative, high-growth Chinese enterprises (AMAC Reg. No.: P1061055), managing multiple RMB funds with an aggregate AUM and exited project value of nearly RMB 5 billion. In this capacity, she oversees the entire investment process, including rigorous project selection, in-depth evaluation, commercial negotiations, and final investment decisions. As a member of the Investment Committee for various sub-funds, she is instrumental in fund raising and strategic planning. Furthermore, she is deeply involved in post-investment management, leveraging her vast industry resources to empower portfolio companies and optimize enterprise value.
Elaine served as Vice President at the Beijing office of GIC. During her tenure, she was responsible for sourcing and executing investment projects across China. She maintained close strategic ties with investment funds, investment banks, and relevant government economic departments to stay at the forefront of capital market trends. Ms. Wang demonstrated exceptional due diligence and negotiation skills, frequently representing GIC on the Boards of Directors of various portfolio companies. In these roles, she participated in key decision-making and drove business expansion. She is particularly adept at balancing investment opportunities with potential risks in complex market environments and formulating precise exit strategies.


Ms. Venus Ngai
Director, Responsible Officer
Ms. Ngai has been the executive director of Bay Area Capital Co., Ltd. since November 2020, and is fully responsible for the company's operation and management, and serves as the head of the compliance department, risk monitoring and investment advisory business.
Ms. Ngai has been engaged in securities, investment advisory and asset management business since she obtained the SFC license in 2004. Before joining Bay Area Capital, Ms. Ngai was the person in charge of Type 1, 4, and 9 licenses of a Hong Kong securities firm. She managed over 200 million in external investment funds. Previously, Ms. Ngai worked in the credit department of a Chinese commercial bank in Hong Kong for more than ten years. She was in charge of personal and commercial credit and was responsible for commercial credit and loan application approval. She has extensive experience in private investment, asset management and commercial credit.
Mr. Godfrey Tse
Responsible Officer
Godfrey Tse, a seasoned practitioner with over 13 years of experience in investment management and regulatory compliance, held the position of Executive Director and Responsible Officer at Global Ample Asset Management Limited from 2019 to 2024 and at Marketsense Asset Management Limited from 2017 to 2019. During these periods of time, he managed daily operations, managed Private Open-ended Umbrella Funds, streamlined compliance processes, and coordinated cross-departmental efforts. Godfrey has served as a Responsible Officer for Type 4 and Type 9 regulated activities licensed under the Hong Kong Securities and Futures Commission (SFC).
His career has encompassed strategic leadership roles in managing SFC-licensed corporations, successfully leading license applications, and driving operational excellence in compliance, risk management, and asset management. Additionally, he liaised with the SFC, established Cayman Islands investment fund, and designed AML/CTF frameworks. Godfrey’s expertise extends to fund setup, fund management, valuation and reporting, as well as overall regulatory compliance for licensed corporations.
Prior to his roles at Marketsense Asset Management Limited, Godfrey honed his skills in global multi-asset portfolio strategies, macroeconomic research, and IPO analysis at Partners Asset Management (HK) Limited and BMI Funds Management Limited. As Head of Research, he developed actionable market insights and authored investor-oriented commentaries. Godfrey holds a Bachelor of Economics and Finance from the University of Hong Kong and is a CFA charterholder.

Ms. Kelly Leung
Kelly Leung is an expert in Virtual Asset, pioneering executive and venture builder specializing in Web3 economies and digital asset innovation. As Chief International Business Development Officer of Animoca Brands Japan and Board Director, she oversees a expansive portfolio of 380+ investments in NFT-related companies and decentralized blockchain projects that are shaping the Open Metaverse ecosystem. Her investment strategy encompasses leading projects including Axie Infinity, OpenSea, Dapper Labs (NBA Top Shot), and other foundational metaverse platforms.
Concurrently, as Co-Founder of MADworld, Kelly leads an NFT platform and marketplace dedicated to preserving digital rights for artists and content creators. Kelly has been at the forefront of blockchain adoption since 2017 when she joined Animoca Brands' Blockchain Advisory team, where she pioneered the introduction of major brands to blockchain applications. Her work bridges traditional business development with cutting-edge Web3 technologies, creating innovative models for digital ownership, creator royalties, and virtual asset management.
Mr. Roy Lo
Mr. Roy Lo possesses exceptional insights into China and Hong Kong markets with global perspectives, supported by extensive regional networks and close collaboration with regulatory bodies and professional institutions. His leadership roles include Vice Chairman of the Hong Kong Association of Registered Public Interest Entity Auditors (PIEAA), Chairman of the Vocational Training Council’s Accountancy Training Board, Honorary Court Member of Hong Kong Baptist University, and Member of the HKSAR Education Bureau’s School Allocation Committee. He also serves as a Member of the 14th Shanghai Committee of the Chinese People’s Political Consultative Conference, President/Founder of the Accountancy Industry Young Professionals Alliance, and previously held positions as Divisional President (Greater China) of CPA Australia (2019), President of The Hong Kong Independent Non-executive Director Association (2021–2022), and member of the Financial Reporting Council’s Review Panel (2015–2018).


Ms. Gloria So
Gloria has around 20 years of experience in enterprise risk management, internal audit, ESG report writing, information technology general control review and financial due diligence. She has the expertise in performing internal audit function, internal control and enterprise risk management review, ESG report writing and other strategic review engagements for clients for more than 100 listed companies and IPO projects from a wide range of industries.
Gloria has served as a guest speaker for lectures held by various professional organizations such as the Hong Kong Institute of Certified Public Accountants, CPA Australia, and Hong Kong Chartered Governance Institute. She has also published professional articles in Hong Kong local newspapers and magazines, with topics related to inside information and environmental and social governance reports.
Mr. Roy Lam
Mr. Roy Lam has over 12 years of professional experience in corporate finance, financial due diligence, internal audit, and external audit. He possesses extensive expertise in executing various corporate finance transactions, including stock issuance and listing, as well as mergers and acquisitions (M&A).
Currently, he primarily provides professional services in financial due diligence, transaction advisory, and M&A consulting. He has also participated in the improvement and review of internal controls and processes for multiple companies. Additionally, his experience includes performing agreed-upon procedures for the listing applications of Chinese companies on the Hong Kong Exchanges and Clearing Limited (HKEX).


Ms. Winnie Or
Ms. Or possesses 40 years of extensive experience in company secretarial services, with her primary responsibilities encompassing all aspects from company incorporation to dissolution. Throughout her distinguished four-decade career, she has developed profound expertise in corporate secretarial matters, having provided comprehensive services to numerous private enterprises in Hong Kong. Her professional engagements have included company formation, share capital restructuring, meeting procedures, committee elections, share transfers, and company deregistration.
Ms. Or's professional specialization lies in company establishment, equity restructuring, corporate meeting protocols, board elections, share registration, and company liquidation. Ronald has had 9 years of experience in assurance and advisory services. He is responsible for various projects of auditing, corporate finance, financial reporting and internal control. During the 6 years of experience in assurance and advisory area, Ronald has accumulated considerable experience and has been involved in audit, due diligence on investment projects, and internal control reviews of many Hong Kong listed companies, authorized institutions and licensed corporations.

Mr. Matthew Wong

Mr. Matthew Wong is a highly experienced legal practitioner specializing in corporate finance, capital markets, and mergers & acquisitions across Greater China.
Admitted in Hong Kong (since 1994), England & Wales, and Australia, he recently qualified to practice in Mainland China's Greater Bay Area (Shenzhen). Mr. Wong advises listed companies, investment banks, and fund managers on IPOs, secondary offerings, M&A, restructuring, private equity/venture capital, and complex regulatory and compliance matters under Hong Kong securities law.
He has substantial experience forming private investment funds globally (including LPs, SPCs) and advising on investment strategies, structuring, legal due diligence, transaction execution, and exits. Mr. Wong also actively engages in direct investments and cross-border transactions, collaborating closely with mainland counsel.
Mr. Wilson Mung
Mr. Mung has over 16 years of experience in accounting, auditing, and taxation.
With extensive expertise in providing audit and accounting services to SMEs in Hong Kong, Mr. Mung has served a diverse range of clients across multiple industries.
